1、 Classification of cooperative dealers:

The agents of the company are divided into regional exclusive distributors, franchised distributors, acting wholesalers and retailers.

◆ regional exclusive distributors refer to those who are authorized by the company to engage in the commercial activities of designated products independently within the specified region and period. The company shall not appoint a second agent during this period or within the region; The regional exclusive distributor must realize the sales task of the entrusting party according to the agreement.

◆ franchised dealers refer to customers who do not have the qualification of regional franchisers, but have considerable sales performance and market capacity after evaluation, and are authorized by the company and reach the agreed sales target of the company at the specified time and specified product sales scale. Under the same conditions, franchised dealers can give priority to promotion to regional franchisees.

◆ acting wholesaler refers to those who can't reach the sales scale of the franchised dealer level, but their performance is acceptable. If the single order volume of a single product is above the specified standard or the monthly cumulative sales volume is relatively considerable, the acting wholesaler qualification can be granted to the products that meet the performance requirements. According to the improvement and evaluation results of sales performance, the agent wholesaler can be promoted to a franchised dealer.

◆ retailers refer to sporadic purchase customers with flat sales and single product purchase volume below the wholesale standard.

2、 Qualification requirements for cooperative agents:

Dealers at all levels need to have basic business qualifications and provide necessary relevant qualification certificates such as valid business licenses and circulation licenses (except retailers). Have experience in project operation and market operation, have certain economic strength and sufficient working capital, have a fixed marketing network and good business reputation, and can quickly and effectively implement the relevant business plans of the company.

3、 Rights of the agent:

1. Regional franchisees enjoy the right to specialize in our company's designated products or series of products in the region or city they represent (a plaque of "regional franchisees" can be awarded).

2. Regional exclusive distributors or franchisees have the right to develop sub distributors or cooperative franchisees in the region or city they represent.

3. All agents or retailers can develop their own business outlets, counters, franchised stores, or implement various marketing methods such as group purchase and conference marketing in the region they are acting for.

4. All agents or retailers can legally advertise products in the territory they represent (any form of media advertising should be released after consulting and confirming the content with the company in advance)

4、 Obligations of the agent:

1. Perform obligations as agreed in the contract, and regularly accept the review and assessment of the company's headquarters.

2. Regional exclusive distributors or franchisees must explain the number and specific information of subordinate distributors or franchisees in the region to the company. Regional exclusive distributors shall not sell other goods that are the same or similar to the company's series products.

3. Operate with reference to the market plan and market price prepared by the headquarters of the company.

4. Regional exclusive distributors or franchised dealers must meet or exceed the corresponding turnover and quantity according to the relevant regulations of the company. If they fail to meet the monthly standard seriously or fail to meet the standard for three consecutive months, they will be given corresponding treatment opinions.

5. Operate honestly and in good faith, and maintain the image of the company and its series of products.

6. Strictly abide by the laws and regulations of relevant national departments, and do not use illegal means for market promotion and sales.

7. In case of violation of the contract, failure to meet the standard for three consecutive months, failure to pass the review and assessment, and damage to the image of the company and its series of products, the company will be demoted and deprived of the corresponding level of preferential and preferential policies, and the serious cases will be handed over to the judicial authority.

V Market support policies:

1. Strictly protect the regional exclusive distributors and rationalize the interests of agents to a greater extent.

2. The company will comprehensively and long-term ensure the authority of the agent, and refuse the consumers in the region where all regional exclusive distributors are located to purchase products directly from the company. The company will arrange to directly introduce these customers to the corresponding regional exclusive distributors.

3. The headquarters of the company does not charge any franchise fees. If the regional exclusive distributor or agent dealer makes the regional policy by itself (it should be negotiated and approved with the company in advance), the franchise fees of the franchisee should be charged by the agent.

4. The manufacturer supplies directly, reduces intermediate links, and transfers profits to agents.

5. Free distribution of product promotional materials and certain advertising support.

6. Enjoy the discounts and special offers offered by the company for different seasons and festivals. Regional exclusive distributors have the priority in the company's business support.

7. Enjoy the company's annual rebate or return policy under certain conditions.

8. Issue the authorization letter and plaque of regional exclusive distributors, and promote them on the company's website.

   

6、 Cooperative dealer application procedure:

1. Consultation: learn about our company through the information sent by the company or visit the company's website.

2. Interview: come to the company with a copy of personal valid identity certificate and business license for investigation, communication, negotiation, and understanding of products and specific franchise matters; If you cannot come to the company for negotiation under special circumstances, you can also talk about specific matters by telephone.

3. Signing: formally determine the cooperation intention, sign the agency contract, and receive a full set of promotional materials and corresponding materials provided by the company.

4. Distribution: after the payment is paid, the Sales Department of the company will arrange the delivery in time according to the specific requirements of the agent.

5. Service: according to the application needs of agents and the actual situation of the company, provide appropriate guidance and auxiliary sales services.

6. Others: acting as wholesalers and retailers, some links in the above procedures can be appropriately omitted.
